Contract For Our E-commerce Services – Upwork Direct Contract

Welcome to our ExpoInfoTech/Freelancer/Services Contract page. This page outlines the terms and conditions for the provision of eCommerce services by [ExpoInfoTech] (“Service Provider/Freelancer“) to [Your’s Company Name] (“Client/You”) through the Upwork Direct Contract platform.

Please read the following information carefully before proceeding with our services.
Company/service provider/freelancer/ referred as Company/service provider/freelancer/ in this Agreement) refers to ExpoInfoTech.You mean the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Scope of Work:

We offer a comprehensive range of e-commerce services, including but not limited to:

– E-commerce website development and maintenance.
– Product catalog management, including uploading, editing, and categorizing products.
– Order processing and management.
– Inventory management and stock control.
– Payment gateway integration and management.
– E-commerce platform customization and enhancements.
– Search engine optimization (SEO) for e-commerce websites.
– Customer support and assistance.

Compensation:

The Client/You will compensate the Service Provider for the services rendered based on the agreed-upon rate of [Rate] per [hour/day/week/month]. All financial transactions and payments will be processed through the Upwork Direct Contract platform, ensuring a secure and transparent payment process in accordance with Upwork’s Direct Contracts with Clients policy. Any additional expenses incurred by the Service Provider during service provision shall be reimbursed by the Client upon submission of valid receipts.

Confidentiality:

The Service Provider acknowledges and agrees to maintain strict confidentiality regarding any confidential information accessed while providing services. This includes website credentials and customer information. Such information shall not be disclosed or used for personal gain or any purposes unrelated to this Contract.

Liability:

ExpoInfoTech/Freelancer/Us is not liable for any loss to you or your company or your business in any manner.

Entire Agreement:

Please note that the services provided under this Contract will be facilitated through the Upwork Direct Contract platform in accordance with Upwork’s policies and guidelines. Upwork’s Direct Contracts:

Upwork’s Direct Contracts allow clients and freelancers/service providers to work together outside of Upwork’s platform while still benefiting from Upwork’s payment protection.

Here’s an example of how an Upwork Direct Contract works:

1. Agreement: The client/you and freelancers/service provider agree on the terms of the project, including the scope of work, deliverables, timelines, and service charges/compensation.

2. Communication: The client and freelancers/service providers communicate directly through email, phone, or any other preferred communication method. Upwork is not involved in the communication process.

3. Contract Creation: The client or freelancers/service provider creates a contract using a template or a customized agreement that outlines the agreed-upon terms and conditions & scope of work. This contract can be in the form of a written document or an email exchange.

4. Upwork Payment Protection: To ensure payment protection, the client/you fund the agreed-upon amount in the Upwork escrow account. The funds will be released to the freelancers/service provider according to the agreed-upon payment schedule or milestones.

5. Work Commencement: The freelancers/service provider starts working on the project as per the agreed-upon timeline and scope of work.

6. Deliverables and Revisions: The freelancers/service provider submits the deliverables to the client/you directly. If any revisions or modifications are required, the client/you and freelancers/service provider communicate and coordinate the changes.

7. Payment and Dispute Resolution: Once the client approves the deliverables or milestones, the funds held in the Upwork escrow account are released to the freelancers/service provider. If any disputes arise during the project, the client/you and freelancers/service provider can reach out to Upwork’s customer support for assistance.
If You have any concerns or disputes about the Service, You agree to first try to resolve the dispute informally by contacting the Freelancer/ExpoInfoTech/Service provider.

It’s important to note that Direct Contracts on Upwork are subject to Upwork’s Terms of Service and freelancers/service provider Membership Agreements.

Limitation of Liability:

By working with us/Freelancer/service provider/expoinfotech you agree that we as a freelancer/service provider company does not liable for any kind of loss.

The Freelancer/Company/service provider has no control over and no responsibility for, the content, privacy policies.
You further acknowledge and agree that the Freelancer/Company/service provider shall not be responsible or liable, directly or indirectly, for any damage or loss caused to you, your company or your business.
